These policies govern the conduct and responsibilities of all brokers affiliated with East Coast Business Brokers LLC and East Coast Realty Services LLC, doing business as East Coast Realty Partners (“ECBB”).
All brokers agree to comply with the following terms as a condition of their affiliation with the brokerage.
All brokers must maintain the highest standards of professionalism when interacting with buyers, sellers, fellow brokers, and members of the public.
Brokers are expected to:
• Conduct themselves in a courteous, ethical, and respectful manner
• Maintain professional appearance and attire when meeting clients or attending property tours
• Uphold the reputation and integrity of East Coast Business Brokers LLC and East Coast Realty Services LLC
At least one ECBB broker must be present at all property showings, walk-throughs, or buyer-seller meetings, unless prior authorization is granted by ECBB administration.
Brokers must respond to all client inquiries within 24 business hours via telephone, email, or text message unless the broker has notified ECBB administration of vacation or unavailability.
If a buyer is assigned to a broker’s account and the broker fails to:
• communicate with the buyer
• provide an NDA
• actively pursue the lead
ECBB reserves the right to reassign that buyer to another broker.
Brokers may not contact or solicit buyers or sellers assigned to another ECBB broker without prior consent from the assigned broker or ECBB administration.
Client relationships are recognized once a Non-Disclosure Agreement (NDA) or documented communication establishes the broker-client relationship.
When ECBB administration provides a listing lead to a broker, the broker must actively pursue the opportunity.
If the lead does not convert into a listing agreement within seven (7) calendar days, ECBB reserves the right to reassign the opportunity to another broker.
All listings marketed through ECBB are the exclusive property of East Coast Business Brokers LLC and East Coast Realty Services LLC.
If a broker resigns, is terminated, or otherwise leaves the brokerage:
• All listings remain with ECBB
• The departing broker may not solicit or compete for those listings
• This restriction remains in effect for twenty-four (24) months following termination
To maintain their current commission split, brokers are required to produce a minimum of two (2) new listings per month.
Listings assigned by ECBB administration do not count toward this requirement.
Failure to meet this requirement may result in a reduction in commission split, typically reverting to the broker’s prior split or a reduction of approximately five percent (5%) per side.
ECBB reserves the right to monitor and review company email communications to ensure compliance with company policies, confidentiality obligations, and regulatory requirements.
ECBB administration reserves the right to contact any buyer or seller associated with a broker’s account at any time for the purposes of:
• verifying communications
• confirming interest
• ensuring compliance with company standards
All brokers affiliated with ECBB agree to work exclusively with East Coast Business Brokers LLC and East Coast Realty Services LLC in connection with the sale of businesses and business-related real estate transactions.
Brokers are prohibited from working with competing brokerage firms in connection with business brokerage services during the term of their affiliation.
Any broker who uploads or places a listing on the ECBB website or marketing platforms acknowledges that they are acting as the listing broker of record representing ECBB.
In the event of any dispute or litigation relating to that listing, the broker of record will be recognized as the ECBB listing representative.
Brokers may not communicate with outside brokers, agents, or third parties regarding ECBB listings without authorization from ECBB administration.
Unauthorized disclosure of confidential listing information may result in immediate termination and possible legal action.
Brokers may not distribute Non-Disclosure Agreements (NDAs) until the buyer has been properly registered within the ECBB system and assigned to the broker’s account.
All offers received by a broker must be submitted to ECBB administration within twenty-four (24) hours of receipt.
If a broker resigns or is terminated, the broker will only be entitled to commissions on transactions that are:
• under fully executed contract
• subject to a signed Letter of Intent (LOI)
prior to the broker’s termination.
Brokers may not:
• work for another brokerage firm in connection with business sales
• independently market ECBB listings outside ECBB platforms
• solicit ECBB clients for outside transactions
Violation may result in immediate termination.
Any broker who shares confidential listing information with outside agents, competitors, or third parties without authorization may be subject to termination and legal action.
All buyers, sellers, listings, and confidential information introduced to or obtained by a broker during their affiliation with ECBB shall remain the property of ECBB.
If a broker resigns, is terminated, or otherwise ceases affiliation with ECBB, the broker agrees that:
• Any buyer, seller, or listing introduced through ECBB remains the exclusive client of ECBB
• The broker shall not solicit, negotiate, or participate in any transaction involving those parties outside of ECBB
This restriction applies for thirty-six (36) months following termination.
If violated, ECBB shall be entitled to:
• the full commission due, and
• all legal fees and damages.
All buyer lists, seller lists, CRM databases, marketing materials, financial information, and proprietary systems used by ECBB are confidential trade secrets and property of ECBB.
Brokers may not:
• copy
• export
• distribute
• use ECBB databases or client information outside ECBB
This restriction remains in effect indefinitely, including after termination of affiliation.
Brokers affiliated with ECBB may not solicit or recruit other ECBB brokers, employees, or contractors to leave the firm for a competing brokerage or independent venture.
This restriction remains in effect for twenty-four (24) months following termination.
By affiliating with East Coast Business Brokers LLC and East Coast Realty Services LLC, doing business as East Coast Realty Partners, each broker acknowledges and agrees to abide by these policies and standards.
